Profit Tantra Strategic Advisors LLP (hereinafter "PMSAIF Partners," "we," "us," or "our") is a SEBI-registered distributor of Portfolio Management Services (PMS) and Alternative Investment Funds (AIF). We are NOT an investment advisor, portfolio manager, or fund manager.

All investments in PMS and AIF products are subject to market risk. Past performance is not indicative of future returns. The value of your investment and the income generated from it can go down as well as up. You may not recover the amount of your investment. Investment returns and principal value will fluctuate, and shares, when redeemed, may be worth more or less than their original cost.

2. Nature of Services

We are distributors facilitating access to SEBI-registered Portfolio Management Services (PMS) and Alternative Investment Funds (AIF). Our role is to:

• Evaluate and recommend PMS/AIF products based on your risk profile and investment objectives
• Facilitate the onboarding process with fund managers and custodians
• Provide ongoing portfolio reviews and client support
• Offer complimentary financial education through our Investor's Learning Programme

We do NOT manage your funds directly. Your capital is managed exclusively by the selected PMS/AIF fund manager, with custody held by regulated custodians (NSE/BSE/HDFC Bank/ICICI Bank).

3. No Guaranteed Returns

We cannot guarantee or warrant any specific returns. All investment products carry inherent risks, including the potential loss of principal. Historical performance metrics (1-year, 3-year, 5-year returns) are provided for reference only and do not guarantee future performance. Market conditions, regulatory changes, and unforeseen events can materially impact fund performance.

4. Minimum Investment Requirements

As per SEBI regulations:

• Portfolio Management Services (PMS): Minimum investment of ₹50 Lakhs (₹50,00,000) per portfolio
• Alternative Investment Funds (AIF): Minimum investment of ₹1 Crore (₹1,00,00,000) per investor. Note: Employees and directors of the fund may invest from ₹25 Lakhs.

There is no maximum limit on investment in either product.

5. Risk Factors

Investment in PMS and AIF involves various risks, including but not limited to:

• Market Risk: Fluctuations in equity markets, commodity prices, currency exchange rates, and interest rates can adversely affect portfolio value
• Liquidity Risk: PMS portfolios typically have a 30-90 day exit window; AIF funds have lock-in periods of 3-5 years. Early exit may not be available
• Concentration Risk: Portfolios may be concentrated in specific sectors, geographies, or securities, increasing volatility
• Fund Manager Risk: Performance depends on the fund manager's skill, experience, and decision-making. Key person risk exists if core team members depart
• Regulatory Risk: Changes in SEBI regulations, tax laws, or RBI guidelines can impact returns or fund operations
• Counterparty Risk: Default or insolvency of custodians, brokers, or counterparties involved in transactions
• Currency Risk: For NRI investors, movements in INR vs. foreign currency exposure can impact repatriated returns

• We are not responsible for any losses, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages
• Our total liability, if any, shall not exceed the fees or commissions paid to us by you in the 12 months preceding the claim
• Some jurisdictions do not allow limitation of liability; in such cases, this clause will be enforced to the maximum extent permitted by applicable law

9. Governing Law & Jurisdiction

This disclaimer and all matters relating to your relationship with PMSAIF Partners shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflicts of law principles.

Any disputes, claims, or legal proceedings arising from or relating to this disclaimer or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
