Profit Tantra Strategic Advisors LLP is registered with the Securities and Exchange Board of India (SEBI) as a distributor of Portfolio Management Services (PMS) and Alternative Investment Funds (AIF):

Important Clarification: We are a DISTRIBUTOR of PMS and AIF products, NOT:

• An investment advisor or portfolio manager
• A Registered Investment Advisor (RIA) under SEBI regulations
• A fund manager or AIF manager

Our role is limited to facilitating access to SEBI-registered PMS and AIF products, conducting suitability assessments, and providing ongoing client support. Fund management and custodial services are provided exclusively by regulated third parties.

• No Guarantee of Returns: We cannot guarantee, warrant, or promise any specific level of returns. Historical performance does not guarantee future results.
• Liquidity Risk: PMS portfolios typically have 30-90 day exit windows. AIF funds have lock-in periods of 3-5 years. Early or forced liquidation may result in losses.
• Concentration Risk: Portfolios may concentrate in specific sectors, geographies, or securities, increasing volatility.
• Fund Manager Risk: Performance depends on the fund manager's decisions and expertise. Key person risk exists if core team members depart.
• Regulatory Risk: Changes in tax laws, SEBI regulations, or RBI guidelines can materially impact returns.

Minimum Investment Requirements:

• PMS: ₹50 Lakhs (₹50,00,000) per portfolio
• AIF: ₹1 Crore (₹1,00,00,000) per investor (₹25 Lakhs for employees/directors)

7. Risk Profiling Tool

Any risk profiling questionnaire, assessment tool, or suitability analysis available on this website is provided for educational purposes only. It does not constitute:

• Personalized investment advice
• Professional recommendation tailored to your financial situation
• Regulatory suitability assessment under SEBI guidelines

Formal suitability assessments are conducted separately during the client onboarding process by licensed professionals. Results from online tools should be verified and discussed with our advisors before making investment decisions.

8. No Client Relationship Until Formally Established

Important: Merely visiting this website, submitting forms, or engaging in preliminary discussions does NOT establish a formal client relationship or investment advisory agreement.

A formal client relationship is established only when:

• You have signed all required documentation (KYC forms, client agreements, product confirmations)
• You have completed mandatory regulatory suitability assessments
• Funds have been received and deployed by the fund manager
• You have been issued account statements and confirmations

Until a formal agreement is executed, we are not liable for any actions or recommendations discussed.

9. Distribution Fees

As a SEBI-registered distributor, we may earn commissions and fees from fund managers for facilitating investments. All distribution fees and commissions are disclosed in accordance with SEBI regulations.

Fee Disclosure:

• Initial entry commissions are disclosed in fund factsheets
• Ongoing trail commissions (if any) are deducted from fund NAV and reflected in performance
• All fees are transparent and deducted by fund managers as per SEBI-approved schemes

You can request a detailed fee schedule during client onboarding. No hidden charges are applicable.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

• PMSAIF Partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the website or services
• We are not responsible for any loss of profits, revenue, data, goodwill, or reputation, even if advised of the possibility of such damages
• Our total liability, if any, shall not exceed the fees or commissions paid by you in the 12 months preceding the claim
• In no event shall PMSAIF Partners be liable for any investment losses resulting from market conditions, fund manager decisions, or market volatility
• Some jurisdictions do not allow limitation of liability; in such cases, this clause will be enforced to the maximum extent permitted

12. Governing Law and Jurisdiction

These Terms and Conditions and your relationship with PMSAIF Partners shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflicts of law principles.

Any disputes, claims, or legal proceedings arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. You irrevocably consent to the personal jurisdiction of these courts.

13. Amendments

PMSAIF Partners reserves the right to modify, amend, or update these Terms and Conditions at any time without prior notice. Changes will become effective immediately upon posting to the website.
